Welcome to Memoir. These Terms of Service (“Terms”) govern your access to and use of the Memoir platform, mobile apps, website, and related services (“Memoir,” “Service,” or “Platform”) operated by 4ever Labs Inc., a Delaware corporation (“we,” “us,” or “our”).
By creating an account or using Memoir, you agree to these Terms. Please read them carefully.
1. About Memoir
Memoir is a private memory-journaling platform that lets you capture stories, upload photos and videos, save recipes, build personal timelines, build a family tree, and connect with the people in your life.
You can also choose to create a public account that allows any logged-in Memoir user to view your profile.
You remain the owner of the content you create. These Terms explain how your content is handled, how subscriptions work, and what we require from users to keep the platform safe.
2. Who Can Use Memoir
You must be at least 13 years old to create your own account.
Parents and legal guardians may create and manage accounts for their children, including babies or younger minors. When you create a child’s account: you provide the child’s information, control the privacy and visibility settings, accept responsibility for the child’s activity, and agree to these Terms on the child’s behalf.
You may also create and manage accounts on behalf of family members who are no longer with us (such as deceased grandparents or other relatives) to preserve their memory and stories.
Identifying information on every account must be accurate. Fake names are not allowed.
3. Your Memoir Account
You are responsible for keeping your login credentials secure, all activity on your account, and ensuring your content complies with these Terms.
We may send a written warning before terminating accounts for prolonged inactivity.
We may suspend or ban accounts that violate these Terms.
You may delete your account at any time. Deleted content may be kept temporarily in case you reactivate your account.
If you pass away, your family may request access to your account and memories.
4. Privacy & Your Data
We store personal and sensitive information you provide, including birthdays, family relationships, photos, videos, metadata, and memory details.
We do not sell your data.
You may request permanent deletion of your data at any time.
We do not currently offer a full data download.

5. Content You Create
5.1 Ownership: You retain ownership of all photos, videos, audio, text, memories, and other content you upload (“User Content”).
5.2 License to Memoir: To operate the Service, you grant Memoir a limited, non-exclusive, worldwide, sublicensable license to store, host, display, process, and transmit your User Content through trusted service providers (such as our hosting, storage, and AI providers) solely for the purpose of providing the Platform and its features. We do not claim ownership of your memories.
5.3 Prohibited Content: To keep Memoir appropriate for all ages, you may not upload sexually explicit content, violent or graphic content, or harassing, hateful, or abusive content. We may remove content that violates these rules.
5.4 Copyright: Users may upload photos or videos containing other people, including family members, as long as they have the right to do so.
6. Sharing & Visibility
6.1 Private by Default: Your account and memories are private unless you choose otherwise.
6.2 Public Accounts: You may choose to enable a public profile. When enabled, any logged-in Memoir user can view your profile, while individual memories remain private unless you explicitly set them to be visible.
6.3 Tagging & Shared Memories: If you tag someone in a memory: the memory does not become public; tagged users may view the memory only if your settings allow it; tagged users cannot edit or delete the memory. Only the creator owns the memory, and you may remove a tag at any time.
6.4 Drafts: Drafts are private to the creator until published.
7. Subscriptions, Trials & Refunds
Memoir offers optional paid subscriptions.
7.1 Free Trials: We may offer free trials of varying lengths. The current trial duration is shown at signup. Trials automatically convert to paid plans unless cancelled.
7.2 Billing: Subscriptions may be billed monthly or annually. All subscriptions renew automatically unless cancelled.
7.3 Refunds: Refunds are provided at our discretion. Contact support@memoir.ag if you have concerns about a charge.
7.4 Payment Processor: Payments are handled by Stripe. By subscribing, you agree to Stripe’s terms as well.
8. Acceptable Use
You may not upload sexual, violent, hateful, or harassing content; attempt to reverse-engineer or interfere with Memoir; scrape or extract data through automated tools; use Memoir for illegal activity; or create fake or misleading identities.
We may remove content or suspend accounts that violate these rules.
9. AI Assistance
Memoir includes optional AI-powered tools (“AI Assistance”) that help you draft and refine memories.
AI Assistance is provided through trusted third-party AI providers (such as OpenRouter, Anthropic, and OpenAI). Your inputs are sent to these providers solely to fulfill your requests, and your memories are not used to train general-purpose AI models.
AI Assistance provides suggestions only, does not publish or edit content automatically, may occasionally generate inaccurate or incomplete information, and does not provide medical, legal, financial, or professional advice.
You are responsible for reviewing all AI-generated suggestions.
10. Availability & Data Loss
We strive to keep Memoir reliable but cannot guarantee continuous, uninterrupted service; that all memories will be stored without loss; or that backups will prevent every issue.
By using Memoir, you agree that Memoir is not liable for lost data or memories.
11. Third-Party Services
We use third-party providers including Clerk (authentication), Convex (database and backend), Vercel (hosting), Stripe (payments), OpenRouter, Anthropic, and OpenAI (AI processing), PostHog (analytics), and Meta, Google, TikTok, Pinterest, and Reddit (advertising and conversion measurement).
These providers do not gain ownership of your data and are used only to operate the Service.
12. Intellectual Property
12.1 Memoir’s Intellectual Property: 4ever Labs Inc. owns the Memoir platform and interface, the Mimi brand and AI tools, visual libraries and design assets, prompts, code, and internal systems. You may not copy, modify, reverse-engineer, or distribute any part of the Platform.
12.2 Copyright Claims (DMCA): If you believe content on Memoir infringes your copyright, email support@memoir.ag with: a description of the copyrighted work, the location of the allegedly infringing content on Memoir, your contact information, a statement of good faith belief that the use is not authorized, and your physical or electronic signature. We will respond promptly and may remove or disable access to allegedly infringing content. Memoir may terminate accounts of repeat infringers.
13. Changes to the Service
We may update features, change pricing, or modify these Terms. For changes that materially affect your rights or how the Service operates, we will provide at least 30 days’ notice through the app or by email. Smaller updates and changes required for security, legal compliance, or fraud prevention may take effect immediately.
Continuing to use Memoir after changes means you accept the updated Terms.
14. Limitation of Liability
The Service is provided “as is” and “as available” without warranties of any kind, express or implied, to the maximum extent permitted by law.
To the maximum extent permitted by law: Memoir is not responsible for indirect or consequential damages, and total liability for any claim is limited to $100.
15. Dispute Resolution
These Terms are governed by Delaware law.
You agree to resolve disputes through binding arbitration and waive the right to participate in class-action lawsuits.
